On June 29, Meituan announced that it entered into a transaction agreement on June 29, 2023 (after trading hours) to acquire the entire interest in Beyond Lightyear. The total consideration consists of cash of US$233,673,600; debt assumption of RMB366,924,000; and cash of RMB1. 00 (the total consideration).

For its part, Meituan said that Lightyear Beyond is a leading AGI innovator in China, founded and controlled by Mr. Wang Huiwen, the co-founder of Meituan and a former director and connected person of the Company. As at the date of this announcement, the total net cash position of the Lightyear Beyond Group is approximately US$285,035,563. Upon completion of the settlement, Meituan will hold 100% interest in the Lightyear Beyond Group. Important information is that as the interests held by AI Age, Qimai and Sequoia China in Offshore Lightyear Beyond represent the Offshore Lightyear Beyond shares subscribed by each of them in the previous financing round in May 2023. The shareholdings of the entire issued share capital of Beyond the Offshore Lightyear are 76.72% for AI Age, 0.43% for Oimai, 2.44% for Redshirt China and 20.41% for the other sellers, for a total of 100%.
